These Terms of Service ("Terms") govern your use of KapatanAI (an AI-powered sales agent platform) and Randevu Kapat (an appointment scheduling service at randevukapat.com), both operated by Operiqo Ltd ("we", "us", "our"), a company registered in England and Wales with its registered office at 71 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.

By accessing or using our Service (including KapatanAI and Randevu Kapat), you agree to these Terms. If you do not agree, do not use the Service.

1. Service Description

KapatanAI is a white-label AI sales agent platform that enables businesses and resellers to automate customer conversations on WhatsApp, Instagram, and web chat. The Service includes:

  • AI-powered conversation handling for sales, lead qualification, and appointment booking
  • Automated knowledge base creation from business website URLs
  • Multi-channel messaging management (WhatsApp Business, Instagram DM, web chat)
  • Reseller and white-label functionality
  • Analytics and conversation management dashboard
  • Appointment scheduling and Google Calendar integration via Randevu Kapat (randevukapat.com)

2. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must be at least 18 years old to use the Service.
  • You are responsible for all activities that occur under your account.
  • You must promptly notify us of any unauthorized use of your account.

3. Acceptable Use

You agree to use the Service in compliance with all applicable laws and regulations, including but not limited to:

  • Comply with Meta's WhatsApp Business Policy and Instagram Platform Terms
  • Obtain appropriate consent from your customers before engaging them with automated messaging
  • Comply with applicable data protection laws (UK GDPR, KVKK, EU GDPR as applicable)
  • Comply with Turkey's commercial electronic messaging regulations (IYS) if applicable
  • Ensure your AI agent provides accurate information about your business
  • Maintain a clear path for customers to reach a human agent when needed

3.2 You Must Not:

  • Send unsolicited messages (spam) through the platform
  • Use the Service for any illegal, harmful, or fraudulent purpose
  • Impersonate another person or entity
  • Attempt to circumvent Meta's messaging policies or rate limits
  • Use the Service to collect sensitive personal data (health, financial, etc.) without appropriate safeguards
  • Resell or redistribute the Service except through our authorized reseller program
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Interfere with the security or integrity of the platform
  • Use the Service to send messages that are deceptive, misleading, or harmful

4. AI-Generated Content

The AI sales agent generates responses based on the information you provide (website content, custom instructions, conversation context). You acknowledge that:

  • AI-generated responses may occasionally contain errors or inaccuracies
  • You are responsible for reviewing and ensuring the accuracy of information your AI agent communicates
  • We do not guarantee that AI responses will result in sales or specific business outcomes
  • You should regularly monitor conversations and adjust your AI agent's instructions as needed

5. Third-Party Platforms

The Service integrates with third-party platforms including Meta (WhatsApp, Instagram) and AI providers. Your use of these integrations is subject to the respective third-party terms:

We are not responsible for changes, outages, or policy updates from third-party platforms that may affect Service functionality.

6. White-Label and Reseller Terms

If you use our white-label or reseller features:

  • You are responsible for your relationship with your end clients
  • You must ensure your end clients comply with these Terms and applicable messaging policies
  • You may set your own pricing for end clients
  • You are responsible for providing first-line support to your end clients
  • White-label branding does not transfer ownership of the underlying platform

7. Intellectual Property

  • The Service, including its code, design, features, and documentation, is owned by Operiqo Ltd and protected by intellectual property laws.
  • You retain ownership of your business content (website data, custom instructions, branding).
  • You grant us a limited license to use your content solely to provide the Service.
  • Conversation data between your AI agent and your customers belongs to you.

8. Payment and Billing

  • Pricing and payment terms will be published on our website when the Service launches.
  • All fees are non-refundable except as required by law or as specified in our refund policy.
  • We reserve the right to change pricing with 30 days' notice.
  • Failure to pay may result in suspension or termination of your account.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control (including third-party platform outages).

10. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranties of any kind, express or implied.
  • We are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service.
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
  • We are not liable for lost sales, lost profits, or business interruption resulting from AI agent performance.
  • We are not liable for actions taken by third-party platforms (Meta, WhatsApp, Instagram) that affect your use of the Service.

11. Indemnification

You agree to indemnify and hold harmless Operiqo Ltd from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights or applicable laws
  • Content or information communicated through your AI agent
  • Your end clients' use of the Service (if you are a reseller)

12. Termination

  • You may cancel your account at any time.
  • We may suspend or terminate your account if you violate these Terms or applicable laws.
  • We may terminate the Service with 30 days' notice.
  • Upon termination, your right to use the Service ceases immediately.
  • We will delete your data in accordance with our Privacy Policy.

13. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales, unless mandatory consumer protection laws of your jurisdiction provide otherwise.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use after changes constitutes acceptance. If you disagree with updated Terms, you should stop using the Service.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
